How to Form a Limited Liability Company “LLC”

Congratulations you are about to officially form your business!

How choosing an LLC will benefit you:
• This structure can cover just you or multiple owners
• Few formalities to follow to maintain protection from personal liability
• Less formal structure than a corporation
• No annual meetings or filings required
• Flexible tax options

  1. Pick a unique and distinguishable name for your LLC

    Visit the Arizona Corporation Commission Website to run an entity search. Type in your desired business name and hit Name Availability Check. You will either get “The name is available.” or “The entity name is not available.”

    Pro tip: Even if the name is available, go back to the entity search and hit “Search” this will return any businesses with similar names. If the LLC’s name is not distinguishable from an existing name, the Arizona Corporation Commission will reject your Articles of Organization and you will need to resubmit with a different name in 30 days.

  2. Is the URL available?

    I recommend that you check to see if your business name is available as a web domain. While you may not plan to make a business website immediately, you may want to buy the URL in order to prevent others from acquiring it while you get rolling.

  3. Time to File! Below is a step by step how to:

    a. Please create an eCorp account to begin on the Arizona Corporation Commission Website.

    b. Login and select Online Services on the top right.

    c. Select Start a New Business and Guide me.

    d. Select I want to protect my personal assets as much as possible and minimize my risk for personal responsibility for the debts and other liabilities of my business. The other option will only secure a trade name, which will make you personally responsible of the debts and other liabilities of the business.

    e. Select Limited Liability Company

    f. Select Limited Liability Company again, unless your business is for licensed professionals practicing their profession—doctors, lawyers, engineers, accountants, and the like, then you need select a professional limited liability company.

    g. Fill out your entity name. Please keep in mind that your business name must contain the words “limited liability company” or “limited company” or the abbreviations “L.L.C.”, “L.C.”, “LLC”, or “LC.”

    h. Fill out your entity email address, select your Character of Business and Perpetual as your duration.

    i. If your statutory agent is an individual select no for you New Statutory Agent Information. A statutory agent is a person or entity, located in the state of Arizona, that is authorized by your LLC to receive service of process. Then fill out your statutory agent information.

    j. Fill out your Known Place of Business.

    k. Select either Manager-Managed or Member-Managed. Member-managed LLCs have all members participate in the decision-making process of the LLC. While manager-managed LLCs hands over the decision-making process to the
    manager(s).

    l. Fill out Principal Information. List them as either “Member” or “Manager” to be consistent with either Manager Managed or Member-Managed.

    Note: Hit add Principal.

    m. Fill out Organizer Information.

    n. Upload any documents you would like to include in your filing (optional).

    o. Sign virtually.

    p. Review and Complete!
  1. Wait for the approximately a month (or two weeks for an extra $35 to expedite) to receive an approval letter and a Notice of Publication form.

  2. You officially have a registered Arizona business entity!

  3. Next thing to consider is obtaining an EIN so you can set up your business bank account.
